Purpose & Agreement

This document is published in compliance with Rule 3(1) of the Information Technology (Intermediaries Guidelines and Digital Media Ethics Code) Rules, 2021 and in accordance with the Information Technology Act, 2000, as amended. It outlines the legally binding Terms and Conditions for the use of the Gaminzo platform, a gaming application operated by NextGen Edutainment Private Limited, a company registered under the Companies Act, 2013, having its registered office at [#207, Jayanivas, Subramanyanpura, Bangalore South, Bangalore-560061, Karnataka], India (hereinafter referred to as “Company”, “we”, “us”, or “our”). governing your use of the Gaminzo gaming platform, which includes:

These Terms form an agreement between the Company and any natural or legal person who accesses, downloads, installs, uses, or registers on the platform (hereinafter referred to as “you”, “your”, or “User”). By using the Platform, you agree to be legally bound by these Terms. If you do not agree to any part of these Terms, you should not access or use the Platform.
This document is an electronic record generated by a computer system in accordance with the Information Technology Act, 2000. No physical or digital signatures are required.

1. DEFINITIONS

Refers to the Gaminzo mobile application, official website (www.gaminzo.com), and any associated features, tools, or services offered by Gaminzo.

Covers all contests, quizzes, Fantasy Cricket Predictions, and other skill-based games or activities available on the Platform.

Means cash prizes or equivalent rewards earned by users based on their skill, performance, and ranking in the Games.

Includes Indian states where skill-based gaming for money or prizes is legally not allowed: Telangana, Andhra Pradesh, Assam, Odisha, Sikkim, Nagaland, and Meghalaya. Users residing in these states are not permitted to participate in paid contests or receive winnings.

LEGAL FRAMEWORK & GAME CLASSIFICATION

Gaminzo offers only skill-based games, in line with the ruling of the Hon’ble Supreme Court of India (State of Bombay v. R.M.D. Chamarbaugwala & Ors.), which held that games of skill are not gambling and are protected under Article 19(1)(g) of the Constitution. By participating, users confirm that the outcome of the game is based on their skill, knowledge, experience, and judgment, not chance. Gaminzo does not support betting, gambling, live trading, or virtual trading accounts, and does not provide investment advice or stock recommendations. Users from Restricted States (Telangana, Andhra Pradesh, Assam, Odisha, Sikkim, Nagaland, Meghalaya) are not permitted to join contests involving real-money transactions, in accordance with applicable state laws.

LEGAL COMPLIANCE

Compliance with Applicable Laws
By accessing, registering, or using the Gaminzo Platform (including mobile application, website, and all related services), you expressly agree to comply with all applicable laws, rules, and regulations in India, including but not limited to the following:

Gaminzo offers only games of skill, which are excluded from the definition of gambling under Indian law. In accordance with judicial precedents and applicable state laws, games that require substantial skill, knowledge, and strategy (such as fantasy sports and quizzes) are considered legal and permissible. Gaminzo does not offer any game of chance, betting, or lottery prohibited under this Act.

Gaminzo ensures full compliance with all applicable RBI regulations on payment gateways, fund transfers, KYC norms, and digital transactions. All monetary transactions on the Platform, including deposits, withdrawals, and prize distributions, are routed through RBI-regulated entities to ensure secure and lawful processing.

Gaminzo strictly adheres to the regulatory framework laid down by the Securities and Exchange Board of India (SEBI). The Platform:
• Does not offer any investment advisory services under SEBI (Investment Advisers) Regulations.
• Does not provide buy, sell, or hold recommendations, nor does it issue any stock tips, research reports, or investment signals.
• Does not facilitate trading, investing, or portfolio management, nor does it act as a broker, sub-broker, or intermediary.
• Does not use real-time or live market data (e.g., live stock prices, market feeds, or financial instruments' performance data).
• Does not simulate virtual stock trading or create mock trading accounts for users.

All content, contests, and games with a stock market theme are purely skill-based, educational, and designed for entertainment purposes only. The goal is to engage users in quizzes and games that build general knowledge, analytical thinking, and thematic awareness — not to influence real investment decisions. Gaminzo ensures that all activities on its platform remain fully compliant with SEBI regulations and do not fall under the ambit of securities trading, investment advice, or f inancial product distribution.

As per the Income Tax Act, any winnings above ₹10,000 are subject to Tax Deducted at Source (TDS) as per prevailing laws. Users are responsible for reporting and paying applicable taxes on their winnings, and Gaminzo will issue the necessary TDS certificates (Form 16/16A) in accordance with law.

Gaminzo adheres to the principles of anti-money laundering (AML) and implements strict user verification (KYC) procedures. Suspicious or unlawful activities, including unauthorized use of funds or fraud, will be reported to the relevant authorities in compliance with PMLA provisions.

Gaminzo respects your privacy and processes your personal data in accordance with the Digital Personal Data Protection Act, 2023. User data is collected, stored, and processed only with consent and for lawful purposes such as registration, gameplay, prize processing, and customer support. Gaminzo takes reasonable security measures to protect your data from unauthorized access or misuse.

Gaminzo shall also comply with all other relevant Indian laws, state-specific gaming restrictions, IT laws, consumer protection laws, and any future amendments that govern digital services and online skill-based gaming platforms.

ELIGIBILITY AND USER REQUIREMENTS

For the purposes of these Terms and Conditions ("Terms"), unless the context otherwise requires, the following terms shall have the meanings ascribed to them below:

Refers to any natural person or legal entity who accesses, uses, or registers on the Platform, whether for free or paid participation.

Refers to the digital ecosystem operated by Gaminzo, including but not limited to the website (www.gaminzo.com), mobile applications, web services, software, and all associated features, content, or services offered under the Gaminzo brand.

Means all skill-based games, contests, quizzes, fantasy sports, and interactive challenges made available on the Platform. These are designed to predominantly rely on user knowledge, judgment, training, and experience.

Refers to the personal account created by the User on the Platform, which may include personal details, contact information, KYC documents, gaming activity, transaction history, and other relevant data.To ensure legal compliance, the Platform may collect and process Users’ real-time location data to determine whether they are accessing from any Restricted State where participation in real-money skill-based games is prohibited by law.This location tracking is conducted strictly for regulatory compliance and user eligibility verification, in accordance with applicable data protection laws.

Means any monetary reward, in-kind benefit, coupon, or credit that a User becomes eligible for as a result of performance in skill-based games hosted on the Platform.

Refers to the identity verification procedures mandated under applicable laws and regulations. This may include collection of documents such as PAN card, Aadhaar card, bank details, and other relevant information for authentication purposes.

GAME DESCRIPTIONS AND RULES

Game Participation and Rules
Each game hosted on the Gaminzo Platform is governed by a unique set of rules, eligibility criteria, and participation guidelines, which are made available on the respective game’s information or contest page. By participating in any game, the User agrees to:

• Comply fully with all instructions, formats, scoring systems, time limits, and gameplay structures as specified.
• Refrain from any form of cheating, manipulation, or use of unauthorized or automated tools (including bots, scripts, or macros).
• Participate solely in their personal capacity and not through any false identity, impersonation, or multi-accounting.

Gaminzo reserves the right to disqualify, suspend, or take appropriate legal or disciplinary action against any User found to be in violation of the stated rules or engaging in any conduct detrimental to fair gameplay.

All Users are expected to maintain the principles of fair play and integrity during their participation. Any attempt to gain an unfair advantage—whether technical, procedural, or behavioral—may result in disqualification, forfeiture of winnings, and permanent suspension from the Platform. In the event of a dispute, claim, or grievance arising out of gameplay or game outcomes, the decision of Gaminzo shall be final and binding on all parties. Dispute resolution mechanisms, including internal redressal, mediation, or arbitration (where applicable), are outlined under the Dispute Resolution section of these Terms and shall govern the resolution process.

All games and contests on the Platform are 100% skill-based and are designed to comply with applicable legal standards for skill-based gaming under Indian law.
• Outcomes are determined solely based on the User’s skill, knowledge, strategy, judgment, and performance.
• No element of chance or luck plays a determining role in the distribution of winnings or prizes.
• Each game’s individual rules page provides a clear explanation of the skills tested and the methods used to evaluate performance. Gaminzo does not operate, promote, or host any form of gambling, betting, or game of chance.

REGISTRATION, ACCOUNT MANAGEMENT, AND SECURITY

• To access the Platform, you must register and create an account using a valid email address and mobile number.
• You are required to provide accurate personal information during registration.
• The registration process will also include setting a password and verifying your identity through KYC procedures.

• You are solely responsible for maintaining the confidentiality of your account credentials. • Any activity under your account is considered to be your activity.
• You must immediately notify us of any unauthorised use of your account or any other security breach.

• Users may not create multiple accounts to exploit bonuses or promotions.
• Sharing account details with any third party is strictly prohibited.
• Accounts found to be engaged in fraudulent or suspicious activity will be suspended or terminated immediately.

6. PAYMENT TERMS AND CONDITIONS

• The Platform accepts payments through various methods compliant with RBI regulations (e.g., credit/debit cards, net banking, UPI).
• All payments for participation in paid games (e.g., Paid Spin Champ) must be processed through our secure payment gateway.
• Payment processing is subject to applicable transaction fees and processing times

7. DATA PROTECTION, PRIVACY, AND SECURITY

• Our Privacy Policy, which forms an integral part of these Terms, governs the collection, use, and disclosure of your personal information.
• By using the Platform, you consent to our collection and use of your information as described in the Privacy Policy.

• We implement industry-standard security measures to protect your data.
• User data will not be disclosed to third parties except as required by law or as described in our Privacy Policy.
• You have the right to access, correct, or request deletion of your personal data, subject to applicable legal restrictions.

• The Platform adheres to the Digital Personal Data Protection Act, 2023, and other relevant data protection regulations.
• We regularly review our security practices to ensure compliance with legal and regulatory requirements.

8. INTELLECTUAL PROPERTY RIGHTS

• All content on the Platform, including text, graphics, logos, and software, is the property of Gaminzo or its licensors.
• No user is granted any right or license to use any of the intellectual property except as expressly provided in these Terms.

• Users may submit content (e.g., comments, reviews) to the Platform. By submitting such content, you grant Gaminzo a non-exclusive, worldwide, royalty free license to use, reproduce, modify, publish, and distribute it.
• You represent and warrant that you have all necessary rights to submit the content and that it does not infringe on any third-party rights.

• Any claims of copyright infringement will be handled in accordance with the procedures set forth in our Copyright Policy.
• Gaminzo reserves the right to remove any content that allegedly infringes on intellectual property rights.

9. USER CONDUCT AND OBLIGATIONS

• Users agree to use the Platform only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit any other user.
• Prohibited behaviors include harassment, defamation, hate speech, and the posting of unlawful or offensive content.

• Users must refrain from using automated systems, bots, or any unfair means to influence the outcomes of games.
• Gaminzo employs monitoring and detection systems to identify and prevent fraudulent or dishonest behavior.

• All users must adhere to the community standards and guidelines published on the Platform.
• Violation of these standards may result in account suspension or termination without prior notice.

10. DISPUTE RESOLUTION AND GOVERNING LAW

These Terms and any disputes arising from or related to your use of the Platform shall be governed by and construed in accordance with the laws of the Republic of India.

You agree that any legal action or proceeding arising out of or in connection with these Terms shall be brought exclusively in the courts of [Appropriate Jurisdiction, e.g., Bangalore, Karnataka].

• In the event of a dispute, the parties agree to first attempt mediation to resolve the matter amicably.
• If mediation fails, the dispute will be resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration decision shall be final and binding.

• Gaminzo shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Platform.
• Our total liability to you for any claim arising out of these Terms shall be limited to the amount paid by you (if any) in the preceding six months.

11. AMENDMENTS AND MODIFICATIONS

• Gaminzo reserves the right to amend or modify these Terms at any time without prior notice.
• The updated Terms will be posted on the Platform and will become effective immediately upon posting.
• Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms.

• Significant changes to these Terms will be communicated via email and through notices on the Platform.
• It is your responsibility to review these Terms periodically to remain informed of updates.

12. TERMINATION

• You may terminate your account at any time by following the account deletion process available in your profile settings.
• Termination will not affect any rights or obligations accrued prior to the termination date.

• Gaminzo reserves the right to suspend or terminate your account and access to the Platform, in whole or in part, for any violation of these Terms or for any behaviour deemed harmful or detrimental to the Platform or its users.
• In case of termination, any outstanding balances or pending transactions will be processed in accordance with our Refund and Payment Policies.

• Upon termination, all licenses and rights granted to you under these Terms will immediately cease.
• You will remain liable for any breaches of these Terms committed prior to termination.

13. MISCELLANEOUS PROVISIONS

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

These Terms, along with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Gaminzo regarding the use of the Platform.

• No waiver of any provision of these Terms shall be effective unless in writing and signed by an authorized representative of Gaminzo.
• The failure of Gaminzo to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

• All notices, requests, or other communications required or permitted under these Terms shall be in writing and deemed given when delivered via email or posted on the Platform.
• Notices should be sent to help@gaminzo.com or the address provided above.

Gaminzo shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, or governmental actions.

• You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
• Gaminzo reserves the right to assign these Terms to any successor entity without notice to you.

14. GAME-SPECIFIC ADDITIONAL TERMS

• Choose 5 out of 11 categories.
• Each category gives you 100 points (Total = 500 points).
• Tip: Pick categories you know well to score higher.

• Get 59 extra points per trending category you select.
• Example:
3 trending categories = 177 points
2 trending categories = 118 points
1 trending category = 59 points

• You (USERS) get 5 multiple-choice questions (MCQs).
• Each correct answer = 81 points (No negative marking).

• A live leaderboard displays all users' scores and rankings in real-time.

• In no event shall Gaminzo be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform.
• Our aggregate liability shall not exceed the total fees paid by you in the six (6) months preceding the claim.

By registering on or using Gaminzo, users confirm acceptance of all Terms of Service, Privacy Policy, and Game Rules. Continued use after updates implies consent to revised terms. Users will be informed of major changes via email or platform notifications.

Gaminzo offers its services and platform “as is” and does not guarantee uninterrupted, secure, or error-free access. All content and functionality are provided without express or implied warranties, including fitness for a particular purpose or merchantability.

Users may only use Gaminzo’s software for personal entertainment. Any form of reverse engineering, code modification, or automation via bots, scripts, or external software tools is strictly prohibited and may result in legal action and permanent account suspension.

Users are solely responsible for maintaining the confidentiality of their login credentials. Gaminzo is not liable for unauthorized access resulting from negligence or password sharing. Users must report any breach or suspicious activity immediately.

All disputes shall be governed by Indian laws and resolved through arbitration under the Arbitration and Conciliation Act, 1996. Jurisdiction for all legal matters shall lie exclusively with the courts in Bangalore, Karnataka. Users must attempt resolution through mediation first.

All content on the Gaminzo platform is protected by applicable intellectual property laws. Unauthorized copying, reproduction, or distribution is strictly prohibited. Gaminzo disclaims all liability for content or services accessed through third-party links.

Gaminzo hosts two types of contests: -
- Public Contests: Open to all users until the participant limit is reached.
- Private Contests: Restricted to invited participants only.
If a contest fails to meet the minimum participant requirement before the start, it will be cancelled and entry fees will be refunded.

To the extent permitted under applicable law, you agree to fully indemnify, defend, and hold harmless Gaminzo, its parent company NextGen Edutainment Private Limited, its affiliates, directors, officers, employees, licensors, and service providers from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorney fees and legal costs) that may arise directly or indirectly from:
1. Your violation of these Terms, Privacy Policy, or Game Rules.
2. Any unlawful, fraudulent, negligent, or abusive conduct on the platform.
3. Any infringement of third-party rights through content you submit or share.
4. Any misuse or unauthorized access to your account or the platform.
5. Any technological harm caused by you, including bots, hacks, or interference.
6. Any gameplay manipulation, collusion, or use of multiple accounts to unfairly influence outcomes.

- If you post copyrighted content or offensive messages, you bear the liability.
- If your shared login credentials are misused by others, you are responsible.
- If you cheat or collude in contests, Gaminzo may penalise you and recover damages.
This clause survives even after your account is deactivated or closed.

11. GST Deduction & Discount Points Policy

A 28% GST is deducted from every deposit as required by Indian tax law. This deducted amount is returned to users as Discount Points, valid for 90 days. These points may be used to enter contests. If contests are cancelled, used discount points are refunded. Unused points expire after their validity period.

12. Limitation of Liability – Profit or Loss Disclaimer

Gaminzo, including its parent company, directors, officers, employees, and affiliates, shall not be liable for any financial, opportunity, or perceived profit loss incurred through gameplay or participation.
Participation in Gaminzo’s skill-based offerings (fantasy sports, quizzes, spin games, or stock simulations) is at the user’s own discretion and risk. The platform provides entertainment, not financial guarantees or advisory services.
Gaminzo expressly disclaims responsibility for:
- Game outcomes affecting personal or financial decisions.
- Resemblance between in-game results and real-world financial data.
- Any belief that gameplay implies investment potential or returns.
By using the platform, users confirm Gaminzo is not a financial consultant, advisor, or brokerage and shall not be held responsible for any direct or indirect losses of revenue, data, goodwill, or profit.

Prizes: Terms and Conditions

These Prize Terms form part of the overall Terms and Conditions of Gaminzo, operated by NextGen Edutainment Private Limited, and apply to all users participating in real-money and prize-based contests on the platform. Participation implies acceptance of these terms.

A user is eligible to win multiple prizes in a single day across different contests. However, in cases where a user secures top ranks in multiple prize-based rooms, the prize will be awarded for the first room joined on that day. In other contests, the next-highest scorer will be declared the winner to maintain fair distribution.

All winners will be notified via their registered email address within 24 hours after the end of the respective match or contest. Users are responsible for checking their email or in-app notifications.

Each user is allowed only one entry per Free Entry-based Prize Room. Users are strictly prohibited from using multiple accounts to enter the same contest. Detection of multiple entries from the same individual may result in disqualification and account suspension.

In case of non-cash physical prizes, freight, shipping charges, and any customs duties or additional surcharges shall be borne by the winner. Gaminzo is not responsible for logistical issues, delays, or losses once the item is shipped.

All prizes shall be subject to Tax Deducted at Source (TDS) in accordance with Section 194B of the Income Tax Act, 1961.
- TDS is applicable on winnings exceeding ₹10,000 in a single contest.
- Gaminzo will provide TDS certificates (Form 16A) to all winners for tax filing purposes.
- Winners are responsible for declaring such income and paying any additional taxes, including income tax or gift tax, as applicable under Indian law.

By downloading or using the Gaminzo app or website, users agree that: - Gaminzo, its subsidiaries, or associated entities do not provide warranties for prize fulfillment beyond dispatch or payment confirmation.
- Gaminzo is not liable for any claim, loss, damage, or delay related to prize distribution, third party logistics, or digital product vendors.
- In case of infringement issues raised by third parties concerning prize content (e.g., brand logos, merchandise, etc.), Gaminzo shall not be held liable.

Residents of certain states—Assam, Andhra Pradesh, Telangana, Nagaland, and Sikkim—are prohibited from participating in real-money or prize-based contests due to legal restrictions in those regions. Gaminzo complies fully with state-wise gaming regulations.

In case of any dispute, confusion, or claim related to prizes, participation, or eligibility, the decision of the Gaminzo Management shall be final and binding on all parties. No correspondence will be entertained in this regard.

All other general terms, platform policies, and user conduct guidelines published under Gaminzo’s Terms of Service, Privacy Policy, and Game Rules apply to prize eligibility, selection, and distribution.

Gaminzo offers a refund policy for contest clashes, applicable only to single-entry contests with a maximum of 4 spots. This policy exists to protect users from unintentional overlaps and does not apply to larger contests or multiple entries
